General terms and conditions AMSTERDAM PROFESSIONAL ORGANIZER

1

Applicability

1.1 When placing an order with AMSTERDAM PROFESSIONAL ORGANIZER, the Client declares that he has carefully read the general terms and conditions and agrees to them.


1.2 These conditions can only be deviated from in writing.


1.3 These conditions also apply to the quotations of AMSTERDAM PROFESSIONAL ORGANIZER. Each quotation is without obligation and valid for one month.


1.4 Orders must be confirmed by the Client by e-mail or in writing. If the Client agrees that AMSTERDAM PROFESSIONAL ORGANIZER starts executing the order without this confirmation, the content of the last quotation will be considered as agreed. Verbal agreements and stipulations only bind the parties after they have been confirmed in writing or by e-mail. Agreements via WhatsApp or similar messaging services must always be confirmed by e-mail or letter before a party can rely on them.


1.5 Either party may terminate/dissolve the agreement with immediate effect, without notice, and all amounts due shall become immediately due and payable, if (for) one of the parties a suspension of payments or bankruptcy is requested, is dissolved or goes into liquidation.


1.6 The operation of the general (purchase) conditions of the Client are expressly excluded.

Execution of assignment by AMSTERDAM PROFESSIONAL ORGANIZER

2.1 AMSTERDAM PROFESSIONAL ORGANIZER zal de opdracht zelfstandig naar beste weten en kunnen uitvoeren. Amsterdam Professional Organizer biedt diensten aan zoals ruimte- en tijdsbeheer, papierbeheer, verhuisassistentie, en andere organizing gerelateerde diensten en zaken zoals vermeld in de offerte of overeenkomst Partijen gaan uitdrukkelijk geen dienstverband aan.


2.2 AMSTERDAM PROFESSIONAL ORGANIZER spant zich in om de opdracht (het advies) zorgvuldig en onafhankelijk uit te voeren, de belangen van de Opdrachtgever naar beste weten te behartigen en te streven naar een voor de Opdrachtgever bruikbaar resultaat, zoals van een redelijk en professioneel handelend bedrijf in de branche mag worden verwacht. Indien Opdrachtgever zich bij een handelen of nalaten laat leiden door een concept of mondeling advies geschiedt zulks geheel voor eigen rekening en risico.


2.3 Indien en voor zover een goede uitvoering van de overeenkomst dit vereist, heeft AMSTERDAM PROFESSIONAL ORGANIZER het recht werkzaamheden te laten verrichten door derden.


2.4 AMSTERDAM PROFESSIONAL ORGANIZER kan de uitvoering van een opdracht per fase aanbieden en overeenkomen. Elke fase kan door AMSTERDAM PROFESSIONAL ORGANIZER steeds separaat worden gefactureerd. AMSTERDAM PROFESSIONAL ORGANIZER is alvorens met de opdracht of een fase aan te vangen gerechtigd te eisen dat alle geoffreerde (on)kosten, alsmede (een door haar te bepalen gedeelte van) de totale begroting vooraf betaald dient te worden. AMSTERDAM PROFESSIONAL ORGANIZER heeft het recht de opdracht op te schorten totdat volledige betaling van de verzonden facturen zijn ontvangen.


2.5 Indien een Opdrachtgever wijzigingen wil aanbrengen, zullen er door AMSTERDAM PROFESSIONAL ORGANIZER meerkosten in rekening worden gebracht. Tevens zal de leveringsdatum, indien nodig, proportioneel worden opgeschoven.


2.6 Als bij aanvang van de opdracht de opdrachtformulering niet helemaal voldoet of onvolledig is, zal AMSTERDAM PROFESSIONAL ORGANIZER, als onderdeel van de opdracht, Opdrachtgever bijstaan bij het aanscherpen of herdefiniëren van de opdrachtdefinitie.


2.7 Indien AMSTERDAM PROFESSIONAL ORGANIZER wordt betrokken in opdrachten zonder duidelijke opdrachtbeschrijving en fases, en de doorlooptijd en/of deadline veranderlijk zijn of worden, bijvoorbeeld door onvoorziene omstandigheden binnen de organisatie, zal Opdrachtgever de gemaakte extra uren tegen het normale uurtarief voor deze werkzaamheden vergoeden. AMSTERDAM PROFESSIONAL ORGANIZER zal de hierdoor ontstane wijzigingen beschrijven (of de opdracht herdefiniëren) en aan de contactpersoon van de Opdrachtgever e-mailen.


2.8 AMSTERDAM PROFESSIONAL ORGANIZER is niet verplicht tot het verrichten van een gedeelte van de opdracht tegen de  opgegeven prijs in een offerte die bestaat uit verschillende onderdelen.


2.9 Is voor de uitvoering van bepaalde werkzaamheden of voor de levering van bepaalde zaken een termijn overeengekomen of opgegeven, dan is dit nimmer een fatale termijn. Bij overschrijding van een termijn dient de Opdrachtgever AMSTERDAM PROFESSIONAL ORGANIZER derhalve schriftelijk in gebreke te stellen. AMSTERDAM PROFESSIONAL ORGANIZER dient daarbij een redelijke termijn te worden geboden om alsnog uitvoering te geven aan de overeenkomst. In geval van overschrijding van enige termijn zullen partijen zo spoedig mogelijk in overleg treden.


2.10 Het (na)leveren van (ruwe) digitale bestanden of bestanden in andere bestandsformaten is meerwerk. 


2.11 Wanneer de uitvoering van de opdracht wordt vertraagd of onderbroken door omstandigheden die niet aan AMSTERDAM PROFESSIONAL ORGANIZER kunnen worden toegerekend, dan is de Opdrachtgever verplicht eventuele extra kosten die dit met zich meebrengt te vergoeden. AMSTERDAM PROFESSIONAL ORGANIZER zal de kosten zoveel mogelijk proberen te beperken.


2.12 AMSTERDAM PROFESSIONAL ORGANIZER mag een verzoek tot wijziging van de opdracht van de Opdrachtgever weigeren als dit kwalitatief of kwantitatief gevolg heeft voor de opdracht. 


2.13 Afwijkingen in het (eind)resultaat ten opzichte van hetgeen is overeengekomen zijn geen reden voor afkeuring, korting, schadevergoeding of ontbinding van de overeenkomst, wanneer deze afwijkingen, alle omstandigheden in aanmerking genomen, in redelijkheid van ondergeschikte rol is of als Opdrachtgever heeft ingestemd met deze afwijkingen.

3

Suspension, termination and cancellation

3.1 AMSTERDAM PROFESSIONAL ORGANIZER has the right to suspend the order until full payment of the invoices sent has been received.


3.2 AMSTERDAM PROFESSIONAL ORGANIZER is authorized to terminate the agreement if there are circumstances that make compliance with the agreement impossible or if circumstances arise that are of such a nature that (unchanged) maintenance of the agreement cannot reasonably be expected of AMSTERDAM PROFESSIONAL ORGANIZER.

3.3 After dissolution, suspension or cancellation, all claims become immediately due and payable.


3.4 If the Client cancels the assignment or agreement in whole or in part without any culpable failure on the part of AMSTERDAM PROFESSIONAL ORGANIZER, or if AMSTERDAM PROFESSIONAL ORGANIZER terminates the agreement due to an attributable failure in the performance of the agreement by the Client, the Client is obliged to pay AMSTERDAM PROFESSIONAL ORGANIZER, in addition to the fee for the work performed up to that point and the costs incurred, compensation (including loss of profit and/or the remaining part of the fee). These compensations are immediately due and payable at the time of termination, without any written notice of default being required.
The scale below applies if events and/or meetings are planned.

More than 7 working days in advance: 50% of the agreed amount
7 – 2 working days in advance: 75% of the agreed amount
less than 2 working days in advance: 100% of the agreed amount


3.5 Any conduct of the Client on the basis of which AMSTERDAM PROFESSIONAL ORGANIZER can no longer reasonably be expected to complete the assignment will in this context also be regarded as an attributable shortcoming.


3.6 AMSTERDAM PROFESSIONAL ORGANIZER shall never be liable for damages to the Client as a result of a suspension or termination on the basis of this article.

4

Cooperation of the Client

4.1 Full and timely cooperation by the Client in the execution of the assignment is necessary to achieve the desired end result within the set execution period. The Client shall provide AMSTERDAM PROFESSIONAL ORGANIZER with all necessary information, documents, reference material, photos and other matters within the requested period.


4.2 If it has been agreed that the Client will provide facilities, such as equipment, materials or data, these will meet the specifications customary and necessary for carrying out the work.


4.3 If the Client does not provide the necessary data, facilities or approval for the performance of the agreement, or does not provide them in a timely manner or in accordance with the agreements, AMSTERDAM PROFESSIONAL ORGANIZER has the right to suspend the performance of the agreement and to charge the additional costs resulting from this.


4.4 If the Client does not give AMSTERDAM PROFESSIONAL ORGANIZER the opportunity to execute the assignment, AMSTERDAM PROFESSIONAL ORGANIZER is entitled to terminate the agreement. In that case, the Client is liable to pay compensation for the damage suffered, which shall consist of at least the amount that AMSTERDAM PROFESSIONAL ORGANIZER would have received if it had been enabled to properly perform its duties.

5

Price and payment

5.1 Alle prijzen zijn in euro’s en exclusief omzetbelasting, andere heffingen van overheidswege, licentievergoedingen of productiekosten van derden, transportkosten, administratiekosten, verzendkosten, reisuren, reiskosten en verblijfkosten, tenzij schriftelijk anders is afgesproken.


5.2 Alle facturen zullen door de Opdrachtgever worden betaald overeenkomstig de op de factuur vermelde betalingscondities. Bij het ontbreken van condities zal de Opdrachtgever binnen veertien dagen na factuurdatum betalen. Elke betaling strekt tot voldoening van de oudste uitstaande factuur.


5.3 Indien de Opdrachtgever de verschuldigde bedragen niet binnen overeengekomen termijn betaald, is de Opdrachtgever zonder dat enige ingebrekestelling nodig is, een rente verschuldigd gelijk aan de wettelijke rente. Indien de Opdrachtgever na een herinnering in verzuim blijft, zijn alle daaruit voortvloeiende (buitengerechtelijke) incassokosten voor rekening van de Opdrachtgever, waarvan de hoogte bepaald wordt op 15% van het totaal verschuldigde bedrag, met een minimum van € 150 exclusief btw. Indien AMSTERDAM PROFESSIONAL ORGANIZER evenwel aantoont dat deze ter inning van zijn vordering hogere kosten heeft moeten maken welke redelijkerwijs noodzakelijk waren, dan komen ook deze kosten voor vergoeding door de Opdrachtgever in aanmerking.


5.4 In geval van liquidatie, faillissement, beslag of surseance van betaling van de Opdrachtgever zijn de vorderingen van AMSTERDAM PROFESSIONAL ORGANIZER op de Opdrachtgever onmiddellijk opeisbaar.


5.5 De Opdrachtgever ziet af van ieder recht op verrekening of opschorting. 


5.6 AMSTERDAM PROFESSIONAL ORGANIZER is te allen tijde gerechtigd van de Opdrachtgever zekerheidsstelling te verlangen ten behoeve van tijdige en volledige betaling.


5.7 De Opdrachtgever wordt pas eigenaar van het werk als volledige betaling van alle verzonden facturen is ontvangen. Let wel: ‘eigenaar’ betekend niet dat het auteursrecht en andere rechten van intellectuele eigendom bij de Opdrachtgever komen te liggen.


5.8 AMSTERDAM PROFESSIONAL ORGANIZER kan aan de Opdrachtgever kortingen aanbieden. Aan de kortingen zijn altijd voorwaarden verbonden. Zijn geen voorwaarden vermeld in de offerte dan gelden de volgende voorwaarden:
a. Kortingen op uurtarieven gelden niet voor meerwerk of wijziging van de opdracht;
b. Kortingen vervallen bij gehele of gedeeltelijke annulering van de opdracht;
c. Kortingen vervallen als Opdrachtgever een of meerdere afspraken niet of niet volledig nakomt;
d. Kortingen vervallen altijd als Opdrachtgever zijn betalingsverplichting niet of niet volledig nakomt.


5.9 AMSTERDAM PROFESSIONAL ORGANIZER behoudt zich de eigendom van de door hem geleverde zaken voor, zo lang de Opdrachtgever niet geheel heeft voldaan aan alle uit de overeenkomst voortvloeiende verplichtingen. Tot zo lang worden de geleverde zaken geacht door AMSTERDAM PROFESSIONAL ORGANIZER aan de Opdrachtgever om niet in bewaring te zijn gegeven. Indien de Opdrachtgever in verzuim is ten aanzien van enige op hem rustende verplichting is AMSTERDAM PROFESSIONAL ORGANIZER gerechtigd de hem toebehorende zaken op kosten van de Opdrachtgever zelf te (doen) terughalen op diens kosten van de plaats waar zij zich bevinden

6

Intellectual Property

6.1 The intellectual property rights to advice, images, proposals, methods, drawings, designs, texts or the result of the assignment or parts thereof (works), shall belong to and remain with AMSTERDAM PROFESSIONAL ORGANIZER or its licensors. The Client is not permitted, without the written permission of AMSTERDAM PROFESSIONAL ORGANIZER, to:
a. to reproduce or use for other projects,
b. to show or edit to third parties,
c. to (have) changed and/or translated,
d. use in whole or in part, in any way other than as agreed.


6.2 AMSTERDAM PROFESSIONAL ORGANIZER may at all times mention its name in the publication, design or work. AMSTERDAM PROFESSIONAL ORGANIZER is also entitled to mention the names of other creators where appropriate. If AMSTERDAM PROFESSIONAL ORGANIZER deems it necessary, the Client will provide the work to be published or reproduced with the symbol © together with the name of AMSTERDAM PROFESSIONAL ORGANIZER and the year of first publication.


6.3 Unless otherwise agreed, AMSTERDAM PROFESSIONAL ORGANIZER may use the result (and parts at its own discretion and assembly) of the assignment to promote its company and work on its website or otherwise.

7

Complaints, warranty and acceptance test

7.1 Complaints must be reported in writing to AMSTERDAM PROFESSIONAL ORGANIZER by the Client within 8 days of discovery, at the latest within 14 days of completion of the relevant work or delivery. The complaint must contain a description of the shortcoming in as much detail as possible, so that AMSTERDAM PROFESSIONAL ORGANIZER is able to respond adequately.


7.2 If a complaint is justified, AMSTERDAM PROFESSIONAL ORGANIZER will still perform the work as agreed, unless this has demonstrably become pointless for the Client. The latter must be made known in writing by the Client.


7.3 If the parties have agreed on an acceptance test with regard to the delivery, the date and time of delivery shall be the end of the day/period of the acceptance test. In that case, acceptance by the Client may not be withheld on grounds other than those directly related to what the parties have agreed with regard to the acceptance test. During the period of the acceptance test and before that, the Client is not permitted to use the delivered goods other than for the test.


7.4 If any defects come to light during the acceptance test, the delivery date will be extended by the period required to remedy the defects.


7.5 All possible warranty agreements shall lapse if the Client:
- has made changes himself;
- has used the delivered goods for a purpose other than that for which they were intended
- or has not followed the manuals and instructions.


7.6 After delivery of a project, AMSTERDAM PROFESSIONAL ORGANIZER can provide support to the Client for a certain period. During this period, AMSTERDAM PROFESSIONAL ORGANIZER can be reached during office hours for the number of hours specified in the quotation.

8

Liability of AMSTERDAM PROFESSIONAL ORGANIZER

8.1 Shipping or delivery of a (final) product, to whomever or wherever, shall be at the expense and risk of the Client.


8.2 AMSTERDAM PROFESSIONAL ORGANIZER shall only be liable for damage suffered by the Client as a direct result of shortcomings or unlawful acts committed in the fulfillment of the assignment attributable to him through intent or gross negligence, or by persons employed by AMSTERDAM PROFESSIONAL ORGANIZER in the performance of the agreement.


8.3 AMSTERDAM PROFESSIONAL ORGANIZER is not liable for any other form of damage, including additional compensation in any form whatsoever, compensation for indirect or consequential damage, or damage due to lost profits. Furthermore, AMSTERDAM PROFESSIONAL ORGANIZER is in no event liable for damage due to delays, damage due to loss of data, damage due to exceeding delivery times due to changed circumstances, damage resulting from the provision of inadequate cooperation, information, or materials by the Client, or damage due to information or advice provided by AMSTERDAM PROFESSIONAL ORGANIZER, the content of which does not expressly form part of the written agreement.


8.4 Any right to compensation for damages shall always be conditional upon the Client reporting the damage to AMSTERDAM PROFESSIONAL ORGANIZER in writing as soon as reasonably possible after the damage has occurred.


8.5 If AMSTERDAM PROFESSIONAL ORGANIZER is liable for any damage, its liability will be limited to a maximum of half the invoice value of the assignment, or to that portion of the assignment to which the liability relates, with a maximum of €5,000. Any liability beyond that covered by AMSTERDAM PROFESSIONAL ORGANIZER's liability insurance is expressly excluded.


8.6 AMSTERDAM PROFESSIONAL ORGANIZER shall not be liable for damage of any nature whatsoever caused by AMSTERDAM PROFESSIONAL ORGANIZER having assumed incorrect and/or incomplete information provided by the Client or by a third party engaged by AMSTERDAM PROFESSIONAL ORGANIZER on behalf of the Client, unless AMSTERDAM PROFESSIONAL ORGANIZER should have been aware of this inaccuracy or incompleteness.


8.7 If AMSTERDAM PROFESSIONAL ORGANIZER engages a third party to carry out (part of) the assignment, the general terms and conditions of that third party will apply and any liability will be borne by that third party.


8.8 Any liability shall lapse after one year from the moment the assignment has ended by completion, termination or dissolution.

Force majeur

A failure to fulfil any obligation cannot be attributed to the parties if they are prevented from doing so as a result of a circumstance that is not their fault nor for which they are responsible under law, legal act or generally accepted views in society.

Confidentiality

Parties undertake to treat each other's information confidentially during the term of this agreement and thereafter, both about each other's companies and affiliated companies, the activities and relationships and customers of each other. Parties are obliged to treat this information strictly confidential and not to disclose it to third parties.

Relationship clause

The Client is not permitted to employ or directly or indirectly employ employees or subcontractors of AMSTERDAM PROFESSIONAL ORGANIZER without the written permission of AMSTERDAM PROFESSIONAL ORGANIZER during the term of this agreement and up to 1 year after termination of this agreement.

Fine

If the Client violates the provisions of Articles 10 and 11, he shall owe AMSTERDAM PROFESSIONAL ORGANIZER an immediately due fine of €50,000 per violation and €1,000 for each day that the violation continues, without prejudice to the right of AMSTERDAM PROFESSIONAL ORGANIZER to claim full damages (as well as loss of income) from the Contractor.

Privacy Policy

AMSTERDAM PROFESSIONAL ORGANIZER's privacy policy applies accordingly. The privacy policy can be found on the website: www.amsterdamprofessionalorganizer.nl or will be sent to you free of charge upon request.

14

Disputes

14.1 The court in Amsterdam has exclusive jurisdiction to hear disputes. Nevertheless, AMSTERDAM PROFESSIONAL ORGANIZER has the right to submit the dispute to the court that has jurisdiction according to the law.


14.2 The parties will only appeal to the court after they have made every effort to settle a dispute by mutual agreement.

Applicable law

Dutch law applies to every agreement between AMSTERDAM PROFESSIONAL ORGANIZER and the Client.

16

Amendment, explanation and location of the conditions

16.1 These terms and conditions can also be requested via the website of AMSTERDAM PROFESSIONAL ORGANIZER or via bemkenter@gmail.com.


16.2 The most recently filed version or the version that was valid at the time the agreement was concluded shall always apply.


16.3 If one or more of the provisions in these general terms and conditions are null and void or are annulled, the other provisions of these general terms and conditions will remain fully applicable. AMSTERDAM PROFESSIONAL ORGANIZER and the Client will consult with each other in order to establish replacement provisions, whereby the purpose and scope of the original provision will be taken into account as much as possible.


20.4 If, in the execution of the assignment, AMSTERDAM PROFESSIONAL ORGANIZER purchases goods or services from third parties for its own account and risk, after which these goods or services are passed on to the Client, the provisions of the general terms and conditions of and/or separate agreements with these third parties with regard to the guarantee and liability also apply to the Client.
